Choosing and Forming Your Mexican Entity
Most Canadian companies establish a Mexican subsidiary — typically an S.A. de C.V. or an S. de R.L. de C.V. Both provide limited liability; the right choice depends on your ownership, financing, and Canadian tax position. Incorporation is formalized before a notario público, registered in the Public Registry of Commerce, and completed with tax (RFC) and foreign-investment (RNIE) registrations.

Agreements drafted only for Ontario often fail where it counts — in a Mexican courtroom. Distribution, supply, services, and joint-venture agreements should be drafted or reviewed under Mexican law, in Spanish where it controls, with jurisdiction or arbitration clauses chosen deliberately. Product companies must also meet applicable Mexican Official Standards (NOMs) before goods reach customs.
